1. General

1.1 These Terms of Service (these “Terms”) govern your access to and use of the websites operated by Tome Health, Inc. (“Tome Health,” “we,” “us,” or “our”), including tomehealth.ai and any subdomain of it that links to these Terms (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and by any other posted guidelines or rules applicable to the Site. If you do not agree to these Terms, you may not access or use the Site.

1.2 These Terms govern the Site only. Tome Health’s products and services (the “Services”) are made available solely under a separate written agreement between Tome Health and the customer receiving them. Nothing in these Terms grants any right to access or use the Services, and in the event of any conflict between these Terms and such separate agreement, that agreement shall control with respect to the Services.

1.3 We may revise these Terms at any time by posting a revised version to the Site. The revised version shall be effective upon posting and shall be identified by the date set forth above. Your continued access to or use of the Site following the posting of a revised version constitutes your acceptance of it. You are responsible for reviewing these Terms periodically.

1.4 We reserve the right, at our sole discretion and without notice or liability, to modify, suspend, restrict, or discontinue the Site or any portion of it.

2. Content

2.1 The Site and all text, graphics, images, logos, marks, layouts, compilations, code, and other materials made available on or through it (collectively, the “Content”) are the property of Tome Health or its licensors and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.

2.2 The Content is provided for general informational purposes only. Tome Health makes no representation or warranty that the Content is accurate, complete, current, or suitable for any purpose.

2.3 Subject to your compliance with these Terms, Tome Health grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Content for your own internal, non-commercial informational purposes. All rights not expressly granted are reserved.

2.4 It is a violation of Tome Health’s intellectual property rights to use, reproduce, republish, or otherwise make available any Content from the Site for any competitive, public, or commercial purpose without Tome Health’s express written consent.

3. No professional advice

3.1 The Content does not constitute medical, clinical, legal, regulatory, coding, billing, reimbursement, or other professional advice, and shall not be relied upon as such.

3.2 Nothing on the Site constitutes a representation, warranty, or prediction as to how any payer, plan, clearinghouse, or governmental authority will adjudicate, pay, deny, or otherwise treat any claim, authorization request, or item of service. All decisions regarding patient care, claim submission, coding, and compliance remain the sole responsibility of you and your organization.

4. Your use of the Site

4.1 You represent and warrant that you are at least eighteen (18) years of age and that you have the legal capacity to enter into these Terms.

4.2 You shall not, and shall not permit or enable any third party to:

(a) access or use the Site for any unlawful purpose or in violation of any applicable law or regulation;

(b) copy, reproduce, republish, distribute, sell, license, rent, lease, transmit, broadcast, or create derivative works from the Site or the Content, except as expressly permitted by Section 2.3;

(c) scrape, crawl, spider, data-mine, harvest, or otherwise extract data from the Site by automated means, except by a conventional search engine index operating in accordance with our robots.txt file, or at any rate or volume that imposes an unreasonable burden on the Site or its infrastructure;

(d) use the Site or the Content to develop, train, benchmark, or improve any product, service, dataset, or machine-learning model;

(e) attempt to gain unauthorized access to the Site, to any account, system, network, or data connected to the Site, or to any password-protected or secured area of the Site;

(f) probe, scan, or test the vulnerability of the Site or any related system, or breach or circumvent any security or authentication measure, in each case without our prior written authorization;

(g) introduce any virus, worm, malware, or other harmful code to the Site;

(h) interfere with or disrupt the Site, including by means of any denial-of-service attack or comparable conduct;

(i) remove, obscure, or alter any copyright, trademark, or other proprietary notice; or

(j) impersonate any person or entity, or misrepresent your affiliation with any person or entity.

4.3 You are responsible for all activity conducted through your access to the Site.

5. Communications and submissions

5.1 If you submit an email address or other information to us through the Site, you represent and warrant that the information is accurate, that it is yours to provide, and that you have all rights necessary to provide it.

5.2 You consent to receive communications from Tome Health at the address you provide, relating to Tome Health and its products and services. You may withdraw that consent at any time by using the unsubscribe mechanism in any such communication or by contacting us at hello@tomehealth.ai. Withdrawal of consent shall not affect the lawfulness of processing carried out before withdrawal.

5.3 You shall not submit to the Site any personal information of a third party, any protected health information as defined under the Health Insurance Portability and Accountability Act of 1996, as amended, or any other information that you are not authorized to disclose.

6. Privacy

Our collection, use, and disclosure of personal information in connection with the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Feedback

If you provide Tome Health with any suggestion, idea, enhancement request, recommendation, or other feedback relating to the Site, the Services, or Tome Health (collectively, “Feedback”), you hereby grant Tome Health a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose, without restriction, attribution, or compensation to you. Feedback shall not be deemed confidential information of yours, and you should not submit any information you wish to keep confidential or proprietary.

8. Monitoring

Tome Health has no obligation to monitor the Site, but reserves the right to do so, and to access, preserve, and disclose any information as we reasonably deem necessary to (a) comply with applicable law, regulation, legal process, or governmental request; (b) enforce these Terms; (c) detect, prevent, or address fraud, security, or technical issues; or (d) protect the rights, property, or safety of Tome Health, our users, or the public.

9. Links to other sites

The Site may contain links to websites operated by third parties. Such links are provided for convenience only. Tome Health does not control, endorse, or assume any responsibility for the content, privacy practices, or availability of any linked site, and your access to any linked site is at your own risk.

10. Trademarks

“Tome Health,” the Tome Health logo, and all related names, marks, and designs are trademarks of Tome Health, Inc. (the “Trademarks”). Nothing in these Terms grants you any right to use the Trademarks. You shall not use the Trademarks as part of your own name or branding, in any manner likely to cause confusion, or in any manner that suggests sponsorship or endorsement by Tome Health, in each case without our prior written consent. All other trademarks appearing on the Site are the property of their respective owners.

11. Disclaimer

11.1 The Site and the Content are provided “as is” and “as available,” with all faults and without warranty of any kind. To the fullest extent permitted by applicable law, Tome Health expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.

11.2 Tome Health does not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site or the servers making it available are free of viruses or other harmful components. You assume all risk arising from your use of the Site and the Content.

11.3 Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

12. Limitation of liability

12.1 To the fullest extent permitted by applicable law, in no event shall Tome Health, its officers, directors, shareholders, employees, agents, affiliates, successors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to the Site or these Terms, whether based in contract, tort, strict liability, or any other theory, and whether or not Tome Health has been advised of the possibility of such damages.

12.2 To the fullest extent permitted by applicable law, the total aggregate liability of Tome Health arising out of or relating to the Site or these Terms shall not exceed one hundred United States dollars (US$100).

12.3 Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above may not apply to you.

12.4 The limitations in this Section 12 shall apply notwithstanding the failure of essential purpose of any limited remedy, and shall survive termination of these Terms.

13. Indemnification

You agree to indemnify, defend, and hold harmless Tome Health and its officers, directors, shareholders, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your access to or use of the Site; (b) your breach of these Terms; (c) your violation of any applicable law or of the rights of any third party; or (d) any information you submit through the Site. Tome Health reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Tome Health in asserting any available defenses.

14. Violations of these Terms

Tome Health may investigate any suspected violation of these Terms and may, without notice and without liability, restrict or terminate your access to the Site, and pursue any legal or equitable remedy available to it. You acknowledge that a breach of Sections 2, 4, 7, or 10 may cause irreparable harm for which monetary damages would be inadequate, and that Tome Health shall be entitled to seek injunctive relief without the necessity of posting bond.

15. Applicable law; jurisdiction; arbitration; waiver of class action; jury trial waiver

15.1 These Terms and any dispute arising out of or relating to them or to the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.

15.2 Except as provided in Section 15.5, any dispute, claim, or controversy arising out of or relating to these Terms or to the Site shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The arbitration shall be conducted by a single arbitrator, seated in Wilmington, Delaware, and conducted in the English language. Judgment on the award may be entered in any court of competent jurisdiction.

15.3 You and Tome Health each agree that any dispute shall be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator shall have no authority to consolidate claims or to preside over any class or representative proceeding.

15.4 To the fullest extent permitted by applicable law, you and Tome Health each waive any right to a trial by jury in any proceeding arising out of or relating to these Terms or to the Site.

15.5 Notwithstanding Section 15.2, either party may (a) bring an individual action in small claims court, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of its intellectual property rights. For any claim not subject to arbitration, the state and federal courts located in the State of Delaware shall have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.

15.6 If Section 15.3 is found unenforceable as to any claim, that claim shall be severed from the arbitration and brought in the courts identified in Section 15.5, and the remainder of this Section 15 shall remain in force.

15.7 Any claim arising out of or relating to these Terms or to the Site must be filed within one (1) year after it arose, or it is permanently barred, to the fullest extent permitted by applicable law.

16. Copyright complaints

If you believe that material on the Site infringes your copyright, please send a written notice to hello@tomehealth.ai identifying the copyrighted work, identifying the material claimed to be infringing and its location on the Site, providing your contact information, and including a statement that you have a good-faith belief that the use is not authorized and that the information in your notice is accurate. We will respond to properly submitted notices in accordance with applicable law.

17. General

17.1 If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

17.2 No failure or delay by Tome Health in exercising any right under these Terms shall operate as a waiver of that right, and no single or partial exercise shall preclude any further exercise.

17.3 You may not assign or transfer these Terms or any rights under them without our prior written consent. Tome Health may assign these Terms without restriction.

17.4 These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tome Health with respect to the Site and supersede all prior or contemporaneous understandings regarding it.

17.5 Sections 2, 7, 11, 12, 13, 15, and 17 shall survive any termination of these Terms.

17.6 Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Tome Health.
